Partner Affiliate Agreement
This Affiliate Agreement (“Agreement”) is entered into by and between Superior Enterprises Group, LLC DBA Bullying Is A Drug (BIAD), including its related platforms, programs, and advocacy initiatives, and the approved affiliate participant (“Affiliate”).
By applying to or participating in the BIAD Student Safety Partner Affiliate Program, the Affiliate agrees to the terms outlined below.
1. Purpose of the Program
Affiliates participate by helping share approved BIAD materials, connecting interested individuals to BIAD resources, and supporting the broader mission of student and employee safety. The BIAD Affiliate Ecosystem exists to offer services for Harassment, Intimidation, Bullying, Racism, and Discrimination.
The program is designed to create a national Student Protection Infrastructure built around the mission:
“Safety Over Silence.”
Affiliates act as Independent Referring Affiliates who share BIAD educational resources, programs, advocacy services, events, and related initiatives.
2. Affiliate Eligibility
The BIAD Affiliate Program is intended for individuals and organizations aligned with the mission of student safety and advocacy.
Examples of approved affiliate groups may include:
- Parent leaders
- PTA / PTO representatives
- Therapists and counselors
- Attorneys focused on education or civil rights
- Pediatricians
- School psychologists
- Youth Coach
- Youth pastors and faith leaders
- Nonprofit youth organizations
- Retired educators
- Parent advocates
- Social media influencers focused on parenting or advocacy
BIAD reserves the right to approve, reject, suspend, or terminate any affiliate application at its sole discretion.
3. Affiliate Relationship
Affiliates are independent contractors and are not employees, partners, agents, legal representatives, counselors, or official spokespersons of BIAD.
Nothing in this Agreement creates an employment, franchise, joint venture, or agency relationship.
Affiliates may not make commitments, guarantees, or representations on behalf of BIAD.
4. Commissionable Products and Services
Approved affiliates may earn commissions from qualified referrals related to the following:
- Bullying Is A Drug book sales
- Webinars and educational courses
- Consultation referrals
- Incident package referrals
- Advocacy services
- Other approved products or services designated by BIAD
BIAD reserves the right to modify, add, remove, or discontinue products, services, commission structures, or promotional campaigns at any time.
5. Affiliate Tracking
Affiliate referrals may be tracked through systems including but not limited to:
- AffiliateWP
- Affiliate landing pages
- Referral links
- Referral affiliate number
- Lifetime referral tracking
- CRM integrations
- Webinar registrations
- Membership status synchronization
- Commission eligibility status management
BIAD will make reasonable efforts to accurately track referrals and commissions; however, BIAD is not responsible for technical failures, browser restrictions, ad blockers, deleted cookies, payment processor interruptions, or third-party tracking issues.
6. Commission Structure
Affiliates may qualify for tiered commissions based on referral activity.
Current 15-Minute Consultation commission structure:
- Referring Affiliates earn $50.00 for every paid and completed 15-Minute Consultation generated through their assigned affiliate tracking method.
- Referring Affiliates earn $49.00 when a new Referring Affiliate signs up sells their first paid 15-Minute Consultation using their assigned affiliate tracking method.
- Incident & Expulsion Package
- 0–25 referrals: 10%
- 25–49 referrals: 15%
- 51+ referrals: 20%
BIAD reserves the right to modify commission percentages, bonus structures, incentives, contests, or qualification requirements at any time.
7. Lifetime Referrals
Where enabled by BIAD systems, affiliates may receive lifetime referral attribution for future purchases made by referred customers for active affiliates only.
Lifetime referrals are determined based on BIAD’s internal tracking systems and attribution rules.
BIAD reserves the right to:
- adjust referral attribution,
- correct tracking errors,
- revoke fraudulent referrals,
- or discontinue lifetime referral functionality.
8. Payment Terms
Affiliate payouts are issued every two (2) weeks for approved commissions.
Approved payment methods may include:
- Stripe
- PayPal
- Bank transfer
- BIAD Debit Card
Affiliates must reach a minimum payout threshold of $100 before commissions are released.
Affiliates are responsible for providing accurate payment information.
BIAD is not responsible for payment delays caused by incorrect payment details, payment processor issues, banking interruptions, or compliance reviews.
Because BIAD maintains a no-refund policy for clients, commissions may become eligible for approval following successful processing of qualifying transactions, subject to active affiliate membership status, compliance with this Agreement, accurate tracking, and BIAD approval requirements.
BIAD reserves the right to withhold, adjust, reverse, or deny commissions associated with:
- fraud,
- suspicious activity,
- duplicate referrals,
- chargebacks,
- payment disputes,
- policy violations,
- or inaccurate tracking.
8A. Affiliate Membership Requirement and Commission Eligibility
Participation in the BIAD Student Safety Partner Affiliate Program requires maintenance of an active BIAD affiliate membership.
Available membership plans may include:
Monthly Membership
● $59.99 initial setup fee
● $29.99 recurring monthly subscription
Annual Membership
● $275 annual membership payment
BIAD reserves the right to modify membership plans, pricing, benefits, eligibility requirements, or membership offerings at any time.
An Affiliate is considered an Active Member when:
Monthly Membership:
● the subscription remains active; and
● required payments are successfully processed.
OR
Annual Membership:
● the annual membership term remains active, valid, and unexpired.
Active Members may receive, as applicable:
● commission eligibility
● affiliate portal access
● dashboard access
● affiliate assets
● referral participation privileges
● other approved membership benefits
If an Affiliate becomes inactive due to canceled subscription, failed payment, payment delinquency, expired membership term, or related billing status:
● referrals may continue tracking within BIAD systems
● commission eligibility may be suspended, paused, or removed
● commission payouts may be blocked or withheld during inactive status
● access to dashboards, affiliate assets, portal resources, and related membership benefits may be restricted or removed at BIAD’s discretion
Commissions generated during inactive membership status are not eligible for payout unless and until BIAD restores qualifying eligibility status following successful account reactivation.
Reactivation of commission eligibility may occur following restoration of qualifying membership status and successful payment verification.
9. Affiliate Promotional Assets
Affiliates may receive access to promotional materials, including:
- social media posts
- email templates
- webinar invitations
- videos
- graphics
- flyers
- parent guides
- certificates
- affiliate landing pages
All materials remain the intellectual property of BIAD.
Affiliates may use approved materials solely for participation in the affiliate program.
BIAD may revoke, modify, or remove access to promotional assets at any time.
10. Affiliate Identity and Recognition
Approved affiliates may be recognized as:
- Student Safety Partners
- Student Safety Ambassadors
- Advocacy Partners
- or other BIAD-designated recognition titles.
Recognition items may include:
- digital badges
- certificates
- leaderboard recognition
- affiliate dashboards
- webinar appearances
- challenge coins
- ambassador profile pages
- promotional spotlights
Recognition status may be revoked at BIAD’s discretion.
11. Prohibited Activities
Affiliates may not impersonate BIAD advocates, staff members, counselors, representatives, or official organizational personnel.
Any affiliate found misrepresenting themselves as an official BIAD representative may have their account immediately suspended or terminated.
12. Compliance and Ethical Conduct
Affiliates agree to conduct promotional activities in a professional, ethical, lawful, and mission-aligned manner.
Affiliates are solely responsible for ensuring compliance with:
- advertising laws,
- disclosure requirements,
- email marketing regulations,
- social media platform rules,
- and applicable local, state, national, or international laws.
Affiliates must clearly disclose affiliate relationships where legally required.
13. Intellectual Property
BIAD retains all rights, title, and ownership related to:
- trademarks,
- logos,
- slogans,
- program names,
- graphics,
- educational materials,
- branding,
- and proprietary systems.
No ownership rights are transferred to affiliates.
Affiliates may not register domains, usernames, social accounts, or branding that could reasonably confuse the public into believing they are officially operated by BIAD.
14. Account Suspension and Termination
BIAD reserves the right to suspend or terminate any affiliate account at any time, with or without notice, for reasons including but not limited to:
BIAD may additionally suspend commission eligibility, affiliate access, member benefits, promotional privileges, or account functionality based on inactive subscription status, failed payment status, membership delinquency, annual membership expiration, billing disputes, or related membership eligibility issues.
- policy violations,
- unethical conduct,
- fraudulent activity,
- reputational harm,
- misuse of BIAD branding,
- misrepresentation,
- or inactivity.
Upon termination:
- affiliate access may be revoked,
- promotional materials must no longer be used,
- and unpaid commissions may be withheld if associated with violations of this Agreement.
15. Limitation of Liability
BIAD makes no guarantees regarding:
- affiliate earnings,
- sales volume,
- referral conversions,
- business growth,
- advocacy outcomes,
- or program availability.
To the fullest extent permitted by law, BIAD shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from participation in the affiliate program.
16. Indemnification
Affiliates agree to indemnify and hold harmless BIAD, its owners, officers, staff, contractors, affiliates, and partners from any claims, damages, liabilities, losses, legal actions, or expenses arising from:
- affiliate promotional activities,
- affiliate misconduct,
- violation of laws,
- violation of this Agreement,
- or third-party disputes related to affiliate actions.
17. Modification of Agreement
BIAD may update, modify, or revise this Agreement at any time.
Continued participation in the affiliate program after updates constitutes acceptance of the revised Agreement.
18. Governing Law
This Agreement shall be governed and interpreted under the applicable laws determined by BIAD’s principal operating jurisdiction.
19. Entire Agreement
This Agreement represents the complete understanding between BIAD and the Affiliate regarding participation in the affiliate program and supersedes prior discussions, understandings, or representations.
20. Acceptance
By registering for, accessing, or participating in the BIAD Affiliate Program, the Affiliate acknowledges that they have read, understood, and agreed to this Agreement.
